STANDARD TERMS AND CONDITIONS OF SALE

Welcome to Samtronix LLC. These Terms and Conditions ("Terms") govern your use of our services and website. By engaging with our services, you agree to be bound by these Terms.

1. Services Offered

Samtronix LLC specializes in electronic engineering services and the light manufacturing of custom assembled electronics. Our offerings include, but are not limited to:

  • Custom electronic design and prototyping
  • Printed Circuit Board (PCB) assembly
  • System integration and testing
  • Long-term service agreements with biweekly billing

2. Ordering and Payment

  • Invoicing: All invoices are issued through our Odoo ERP system.
  • Payment Terms: Payments are due within 7 days from the invoice date, unless otherwise indicated.
  • Accepted Payment Methods: We accept payments via business checks, ACH transfer and Credit Cards.
  • Late Payments: Late payments may incur a fee of up to 10% of billed amount per calendar month.

3. Service Agreements

For clients under long-term service agreements:

  • Billing Cycle: Services are billed on a biweekly basis.
  • Scope of Work: The scope is defined in the individual service agreement.
  • Modifications: Any changes to the scope or terms must be agreed upon in writing.​

4. Delivery and Lead Times

  • Standard Lead Times: Our standard lead times vary based on the project scope and will be communicated during the quotation process.
  • Delays: We are not liable for delays caused by factors beyond our control, including but not limited to supply chain disruptions or force majeure events.​a

5. Warranty and Returns

  • Warranty: We provide a 90-day warranty on our manufactured products, covering defects in materials and workmanship.
  • Returns: Returns must be authorized by Samtronix LLC and are subject to our return policy.

6. Intellectual Property

  • Client Materials: Clients retain ownership of their proprietary materials provided to Samtronix LLC.
  • Developed Materials: Any materials developed by Samtronix LLC during the course of the project remain the property of Samtronix LLC unless otherwise agreed upon in writing.​

7. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information exchanged during the course of the project.​

8. Limitation of Liability

Samtronix LLC's liability is limited to the amount paid by the client for the specific service or product in question.​

9. Governing Law

These Terms are governed by the laws of the State of Florida.​
